Nutraceuticals Announces Confidentiality Agreement with Singapore's Institute of Mental Health to Explore NC-107 Research

Nutraceuticals Corporation (the “Company”) confirms that it has received the executed Mutual Confidentiality Agreement between the Company and the Institute of Mental Health (“IMH”), Singapore, operating under the National Healthcare Group.

The agreement establishes a confidentiality framework for the exchange of scientific, technical, clinical, regulatory, financial and business information to enable the parties to evaluate a potential business relationship concerning NC-107, the Company's investigational product under development for generalized anxiety disorder (GAD).

The agreement is governed by Singapore law and provides for the protection and permitted use of confidential information disclosed for the stated purpose.

The execution of the agreement facilitates confidential discussions but does not, by itself, establish that IMH has agreed to conduct or sponsor a clinical trial, endorse NC-107, approve its use in clinical practice, or enter into a commercial partnership with the Company.

Any potential clinical evaluation or research collaboration remains subject to further scientific and clinical assessment, institutional and regulatory requirements, and any additional agreements or approvals that may be necessary.

NC-107 remains investigational. No representation is made that the product has received marketing authorization or regulatory approval for the treatment of GAD in Singapore, the United States or any other jurisdiction.

The Company will assess any subsequent material developments in accordance with applicable securities laws and reporting obligations.

Forward-Looking Statements

Statements regarding potential clinical research, evaluation, regulatory progress or future collaboration are forward-looking statements subject to risks and uncertainties. There can be no assurance that the discussions will result in a clinical study, commercial relationship or other transaction.

Disclosure qualification: This statement is a proposed draft for legal and securities-disclosure review. Any public announcement must be consistent with the executed agreement, including its restriction on public statements without the other party's prior written consent, unless disclosure is legally required and counsel advises on the appropriate process.
